The Client expressly accepts and agrees to be bound by these terms, conditions and exceptions whether written, printed, stamped or otherwise incorporated.
Please also note that from time to time Dream Stage Marketing Co. Ltd may need to alter these Terms and Conditions without notice and we reserve the right to change, modify or otherwise alter these terms at our discretion. 2. Governing Law
Dream Stage Marketing Co. Ltd is a UK private limited company located at 8 Wingbury Courtyard, Wingrave, Aylesbury, Buckinghamshire HP22 4LW, UK.
As such, these Terms will be governed by the laws of the United Kingdom, without regard to principles of conflicts of law and as if these Terms were a contract wholly entered into and wholly performed within the United Kingdom.
To the fullest extent permitted by law, Dream Stage Marketing Co. Ltd (including it's directors, officers, employees and other representatives) disclaims liability for any damages of any kind arising from your use of our products and services, including but not limited to indirect, incidental, punitive, exemplary, special or consequential damages.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
Dream Stage Marketing Co. Ltd reserves the right to terminate an agreement between the Company and the Client at any time if, in our opinion, you have failed to comply with any of the provisions of these terms and conditions.
3. Earnings and Income Disclaimer
Dream Stage Marketing Co. Ltd cannot and does not make any guarantees about your ability to get results or earn any money with our ideas, information, tools, or strategies. You fully understand that all informational products and related services provided by the Company are for educational and informational purposes only. Nothing on this page, any of our websites, or any of our content is a promise or guarantee of results or future earnings, and we do not offer any legal, medical, tax or other professional advice. Our products and services are not to be interpreted as a promise or guarantee of earnings. Any financial numbers referenced here, or on any of our websites, are illustrative of concepts only and should not be considered average earnings, exact earnings, or promises for actual or future performance. 4. Limitation of Liability

Ltd make no representations or warranties as to the effect, results, and/or probabilities of success of any specific or general implementation of the methods and systems described on our website or in our products, programs, advice, and related services. To the fullest extent permitted by law, Dream Stage Marketing Co. Ltd and it's directors and other representatives disclaim liability for any damages of any kind arising from your use of our website, products, programs, advice, and related services, including but not limited to indirect, incidental, punitive, exemplary, special or consequential damages.
The maximum amount in any case Dream Stage Marketing Co. Ltd can be liable for is the value of the agreement, and no more.

5. Terms of Web Hosting and Domain Names
Dream Stage Marketing Co. Ltd are accredited reseller partners of CTHosting.uk. Any and all domain name registrations and website hosting accounts provided to the Client by Dream Stage Marketing Co. Ltd are also subject to CTHosting.uk's Terms and Conditions. The Client and/or the user expressly accepts and agrees to be bound by CTHosting.uk's terms, conditions and exceptions whether written, printed, stamped or otherwise incorporated.
You agree to use all of our web hosting services and facilities at your own risk. Dream Stage Marketing Co. Ltd specifically disclaims all warranties of any kind, expressed or implied, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose. In no event shall Dream Stage Marketing Co. Ltd or it's directors, officers, and other representatives be liable or held responsible for any loss of data or other commercial damage, including but not limited to special, incidental, consequential or other damages. The Company also shall not be responsible for any claimed damages, including incidental and consequential damages, which may arise from CTHosting.uk's servers going offline or being unavailable for any reason whatsoever.
Furthermore, Dream Stage Marketing Co. Ltd and CTHosting.uk shall not be responsible or liable for any claimed damages, including incidental or consequential damages, resulting from the corruption, deletion, or loss of any of the Client's website or email data from CTHosting.uk's servers.
CTHosting.uk will endeavour to keep backups of your data in order to restore the server in the case of a disk failure. However, Dream Stage Marketing Co. Ltd and CTHosting.uk provide no guarantee that they will be able to do so. It is in your own interests to keep a copy of your website backed up on your own computer. If you have an accident with your website we will do our best to help but we may not be able to restore your files for you. Any possible, resulting or necessary repairs/fixes will also be chargeable to the Client. Keeping a local copy at your location is the best way to protect your data.
Every cPanel hosting account provided to the Client is limited to a disk quota. It's important that the Client informs the Company of their definitive hosting requirements and provides an accurate scope (including email account requirements, multimedia requirements, etc) at the beginning of every project. The disk quota is a limit on how much data an account’s directory can contain. The quota is defined in Megabytes (MB) and the Client may be requested to delete unnecessary files to comply with the account disk quota. After which disk quotas can be increased to a certain extent for a nominal fee.
Webmail accounts are provided to the Client "AS IS" exclusively with webmail access. Email setup credentials and instructions will be forwarded to the Client if you wish to access your email account(s) using your preferred email client or mobile devices. Any required email account setup or maintenance outside of the project's original scope will be charged at our hourly rate.
As the Client you hereby fully agree and consent to Dream Stage Marketing Co. Ltd retaining full administration control of your cPanel hosting account for the purposes of maintenance, security, and support. This is also required to better liaise with CTHosting.uk in order to address any potential issues in regards to your hosting account.
Dream Stage Marketing Co. Ltd reserves the right to transfer any and all web hosting agreements between the Company and the Client to CTHosting.uk at our discretion, without notice, and for any reason.
Any assistance or work required from Dream Stage Marketing Co. Ltd for clients that use other third party hosting providers will incur additional charges. While Dream Stage Marketing Co. Ltd takes all care to avoid errors we cannot guarantee compatibility with other hosting providers or configurations. Therefore we accept no responsibility for any technical or migration issues that may arise.

6. Terms of Website Design and Development
Unless otherwise stated, all websites produced by Dream Stage Marketing Co. Ltd are developed using WordPress. WordPress is a free and open-source content management system (CMS) based on PHP and MySQL. The license under which the WordPress software is released is the GPLv2 (or later) from the Free Software Foundation. For more information visit this link.
6.1 WordPress CMS and Divi Builder Platform
Themes allow users to change the look and functionality of a WordPress website without altering the core code. Every WordPress website requires at least one theme to be present and every theme should be designed using WordPress standards with structured PHP, valid HTML (HyperText Markup Language), and Cascading Style Sheets (CSS).
Using the WordPress platform Dream Stage Marketing Co. Ltd utilises a framework called Divi to produce website layouts and customised child themes. Divi is a premium theme developed by Elegant Themes® and is used under licence for the sole purpose of completing the project. Each website element is fully customisable (including fonts, colours, sizing and spacing, content elements and custom CSS). Unless a website design or layout brief is formally supplied by the Client then pre-made layouts will be utilised for the design process.
These off-the-shelf layouts and pre-made solutions have been developed by Dream Stage Marketing Co. Ltd and are proven to increase visitor response rates compared to traditional "brochure-style" websites. These pre-made layouts are provided to the Client non-exclusively. Dream Stage Marketing Co. Ltd also retains the Elegant Themes® licence at all times. This licence is non-transferrable however the Client is free to obtain their own Elegant Themes® licence from the official website ($89 USD per year for Yearly Access or $249 USD for Lifetime Access). WordPress plugins from the WordPress plugins directory will also be employed. Most WordPress plugins are released under the GPL, which is the same license that WordPress itself uses. Additional DHTML, CSS, and Javascript snippets may also be utilised to enhance our web projects and most of these codes have their own terms of use and are protected by both U.S. and international copyright laws.
WordPress and Divi training can be provided upon request at an agreed hourly rate or included in a quotation. All end-user training is to be undertaken online on scheduled date(s) agreed by both parties. We can also provide website and content maintenance if required. This is billed at our standard hourly rate of £45.00 GBP or through an arranged monthly maintenance agreement. Any required updates outside of the project's original scope, as well as project variations or extensions, will be charged at our hourly rate.
6.2 Deliverables
You may not claim intellectual or exclusive ownership rights to any of our end products or deliverables. Dream Stage Marketing Co. Ltd reserves the right to reuse and repurpose any technical components developed during the project and will retain any available intellectual property rights on any and all components (including but not limited to custom Cascading Style Sheets scripts, hex colour codes, colour palletes, HTML snippets, and pre-made website layouts). This does not include any exclusive content provided by the Client to complete their project (eg. their protected or copyrighted material).
Fonts used for all our web and print projects are from the Google Fonts catalog. These fonts are open-source and are published under licenses that allow the use of them on any website, whether it’s commercial or personal.
Dream Stage Marketing Co. Ltd and it's directors, officers, and other representatives shall not be liable or held responsible for any failure or delay in the supply or delivery of products/services where such failure or delay is wholly or partly due to any cause or circumstances, unforeseen or otherwise, outside the reasonable control of Dream Stage Marketing Co. Ltd.
6.3 Project Proposals and Agreements
The basis of all proposals and agreements for extensive projects assumes goodwill from both Dream Stage Marketing Co. Ltd and the Client regarding what can reasonably be achieved in any given timeframe, while making the best use of resources to achieve the most effective outcome. Unless project milestones have been established and formally agreed upon by both the Company and the Client, Dream Stage Marketing Co. Ltd will make every effort to provide an accurate turnaround for your project. This timeframe will depend on the Company's current availability and any provisonal date or timeline provided is not contractually binding.
Quotations are valid for a period of 30 days following the date the Quotation was produced. You take full responsibility for ensuring that the Quotation meets your requirements and we will incur no liability for any errors in the Quotation not corrected by you. Under no circumstances shall the Company's liability exceed the amount described within the Quotation.
Unless you are using our website content creation service then the supply of all text, image, and photo content for the project is the responsibility of the Client. The Company does not take responsibility for any copyright or privacy infringements caused by materials submitted by the Client. We reserve the right to refuse the use of any such material unless proof of permission is provided. We also reserve the right to refuse handling of material which is deemed offensive, illegal or controversial.
If the Client delays a project for more than 30 days (for reasons including but not limited to the missing of deadlines, milestones, or delay in sending their website content or images) Dream Stage Marketing Co. Ltd may charge a project-delay fee to cover necessary costs associated with ongoing management of the project.
Again we will not be liable for costs incurred, compensation, or loss of earnings due to the failure by the Client or Dream Stage Marketing Co. Ltd to meet agreed deadlines or due to the unavailability of any and all websites, hosting accounts, servers or software provided by the Company. We cannot accept liability for loss of revenue caused by the unavailability, malfunction, or interruption of our services.
Unless otherwise agreed by Dream Stage Marketing Co. Ltd and where no request had been made at the outset the Client will not have administration access to the WordPress dashboard login or associated website files. However we are happy to provide the Client with login credentials for "Editor" access and capabilties. Alternatively upon request we can provide the Client with a backup of their WordPress website as a .WPRESS file. This will allow the Client to migrate their WordPress website to a new provider using the All-in-One WP Migration plugin. However we cannot guarantee compatibility with other hosting providers and configurations. Therefore we are not responsible for any technical issues nor do we provide support for migration issues that may arise.
Please note that Dream Stage Marketing Co. Ltd does not offer a credit facility. If no payment has been made after 30 days from the date of invoice (or other relevant notification of charges due) we reserve the right to suspend your account indefinitely and without prior warning until we are in receipt of cleared funds for any and all products and services provided.
As reseller partners of CTHosting.uk if payment is not received before the renewal date for all domain registrations and hosting accounts then the Company will assume that you no longer require your account. After which CTHosting.uk reserves the right to remove any and all email accounts and websites from their servers.
We also reserve the right to terminate an agreement between the Company and the Client at any time if, in our opinion, you have failed to comply with any of the provisions of these terms.
7. Terms of Monthly Support Plans & Search Engine Optimisation
The following terms and conditions are in relation to monthly website support and organic Search Engine Optimisation (“SEO”) services only.
These terms and conditions DO NOT pertain to Pay-Per-Click (“PPC”) or Paid Search Advertising services such as Google AdWords management. Unfortunately we do not offer such service at the moment.
The main difference between Search Engine Optimisation (“SEO”) and Pay-Per-Click (“PPC”) is that traffic coming from SEO (organic search) is free while traffic generated from PPC is not free (you have to pay a cost per click). Organic search is based on unpaid, natural rankings determined by search engine algorithms, and can be optimised with various SEO practices. In contrast, paid search (PPC) allows you to pay to have your website displayed on the search engine results page when someone types in specific keywords or phrases.
7.1 Payment
All of our support plans are rolling monthly agreements and are payable by one pro-forma payment upon joining with subsequent payments due month to month. Support plans are on a rolling monthly agreement and may be terminated by the Client, for any reason, subject to 31 days notice in writing.
Invoices are provided monthly on or around the date you started your plan and all invoices must be settled upon receipt, or at the latest, within 10 days of issue. We reserve the right to charge interest on late payments.
GoCardless is the payment processor for our monthly support plans. All bank details and credit card information is handled by GoCardless Ltd. and no payment details are handled by or stored on our website. We only accept GoCardless as our method of payment for monthly support plans. If you’ve seen GOCARDLESS LTD appear on your bank statement and you’re not sure what the payment relates to, use their secure tool here to find out more information. If you wish to pay via another method then please contact us.
Dream Stage Marketing Co. Ltd reserves the right to pause or cancel monthly agreements at our discretion, without notice, and for any reason.
We also reserve the right to terminate an agreement between the Company and the Client at any time if, in our opinion, you have failed to comply with any of the provisions of these terms.
7.2 Deliverables
Monthly support plans include maximum 4 hours of website updates every month (adding and adjusting text content, photographs, web pages, etc) and these requested website updates must be provided as a whole so an accurate turnaround can be provided to the Client. Please note these hours DO NOT roll over to the following month. Any required updates outside of the agreed monthly support plan, as well as project variations or extensions, will be charged at our standard hourly rate of £45.00 GBP.
The basis of all monthly agreements for on-going website updates assumes goodwill from both Dream Stage Marketing Co. Ltd and the Client regarding what can reasonably be achieved in any given timeframe. We will make every effort to provide an accurate turnaround and complete your website updates in a timely manner. However this will depend on the Company's current availability and any provisonal date or timeline provided is not contractually binding. During our busiest times we could take up to 10 working days to complete the requested website updates. If we are unable to do so within this timescale, then we will explain why, and provide email updates until the website changes are completed.
Monthly support plans also include management of your Google Apps account (which includes Google Analytics, Google Search Console, and Google My Business) which will allow us to monitor and endeavour to maintain your site's presence in Google's search engine results and monitor your site's performance.

Dream Stage Marketing Co. Ltd will endeavour to provide you with a full response to questions and queries within a maximum of 48 hours. During our busiest times we could take up to 3 working days to respond to your enquiry. If we are unable to provide a full response within this timescale then we will explain why, and provide further updates until a full response can be given.
7.3 Disclaimer
The Client acknowledges that Search Engine Optimisation (“SEO”) is governed by many factors which are outside the direct control of Dream Stage Marketing Co. Ltd. and other website design and SEO companies. Search engines are third party systems with unknown variables, algorithms and indexing decisions that can change at any time, with which we have no control over. As such, no SEO specialist can control the organic search results or make any guarantee of getting your website ranked #1 organically on any major search engine for your desired keywords.
Dream Stage Marketing Co. Ltd. will use best efforts, techniques and accepted standards to improve the Client’s search engine ranking but cannot and does not guarantee top positions or consistent first page positions for any particular keyword, phrase, or search term. Whilst we will try to improve the position of your website in search engine results in response to a search request, we do not warrant that this effort will be successful. The Client further acknowledges that the website’s ranking for a particular search term will depend on both the relevancy of that search term on your pages and the popularity of that search term or keyword on other websites. Due to the competitiveness of some keywords and phrases, on-going changes in search engine ranking algorithms, and other competitive factors, the Client acknowledges and understands that a website’s rankings may fluctuate or even decrease.
The Client agrees that Dream Stage Marketing Co. Ltd. will not be held liable for any fluctuations, alterations or removal of your website's listing in the search engines. No refunds or discounts shall be given. You acknowledge that search engines may, at any time, change their ranking algorithm, exclude sites from their listings, or change their policies without notice and that such change may adversely affect your website's search engine ranking. Occasionally, search engines will drop website listings for no apparent reason.
Dream Stage Marketing Co. Ltd assumes no liability for ranking, traffic, or indexing issues related to penalties. Consequently the Client understands that ranking new websites is much more difficult than ranking older and more established sites and the Client should not have unrealistic expectations about ranking increases, search engine results page positions, and website traffic.
Again we reserve the right to terminate an agreement between the Company and the Client at any time if, in our opinion, you have failed to comply with any of the provisions of these terms.
8. Terms of Print and Logo Design
Fonts used for all our print and logo projects are either from the Google Fonts catalog or the Font Squirrel website. Fonts contained in the Google Fonts catalog are open-source and are published under licenses that allow the use of them whether it’s commercial or personal. Fonts from the Font Squirrel website are freeware that are licensed for commercial work. Most are released under the SIL Open Font License v1.10 or Open Font License (OFL).
It is up to the Client to carry out due diligence in order to make sure any logo idea, logo concept, logotype, logomark, or typography provided by the Company to the Client does not already exist in the marketplace and infringe on any existing trademarks, intellectual property or copyrights. Any similarity or resemblance of any of our logo concepts and logo designs to an existing emblem, brand, logotype or logomark is purely coincidental. Please ensure you fully understand these terms and their implications before signing off on any and all logo concepts, ideas, print designs, and related design projects.
In no event shall Dream Stage Marketing Co. Ltd or it's directors, officers, employees and representatives be liable or held responsible for any loss or damages, including (without limitation) loss of profits, loss of revenue, and any third party claims which may arise from the use of any logo idea, logo concept, logo design, logotype, logomark, or typography provided by the Company or due to the failure of the Client to comply with these Terms and Conditions. The Client agrees that the Client will not hold Dream Stage Marketing Co. Ltd or it's directors, officers, employees and representatives responsible for any and all loss, cost, expense, and damages (including legal costs) on account of any and all manner of claims, demands, actions, and proceedings that may be instituted against Dream Stage Marketing Co. Ltd and its partners or affiliated companies on grounds alleging that the said work violates any copyrights, trademarks, service marks.
9. Terms of Print and Stationery Fulfilment
While Dream Stage Marketing Co. Ltd takes all care to avoid errors, we accept no responsibility for typographical errors, spelling mistakes, or incorrect information on any project committed to print or production. It is important that the Client has verified that all spelling and contents are correct before confirming their order. The Client cannot make any changes once their order has been placed and the Client assumes all responsibility for typographical errors. Dream Stage Marketing Co. Ltd and its affiliated companies will not refund any money for the orders that were shipped or were cancelled after the order was being processed.
Dream Stage Marketing Co. Ltd neither makes any explicit warranty nor imply or accepts any responsibility other than possible replacement of the products that the Client is buying. Dream Stage Marketing Co. Ltd may but does not guarantee the replacement of the defective product, or credit the amount of the purchase price.
The Client will be fully responsible for the shipping and handling cost. Dream Stage Marketing Co. Ltd will not be responsible for the delay in delivery, loss or damage of the order while the order is with the shipping carrier.
10. Terms of Payment and Financing
Unless otherwise agreed full payment is required prior to the commencement of all projects and services, unless in circumstances agreed upon by the Company and the Client. In the event that a deposit is required this must be paid on the due date as agreed in the proposal, and due to limited space and reserved time scheduling, deposits are non-refundable.
Projects must be paid in full and funds cleared prior to the transfer of deliverables, files, or website uploads. The Company accepts payment by bank transfer (Faster Payments/Bacs) or PayPal.
